Negotiations for the merger of Transclal and Newlog

Transclal and Newlog have initiated negotiations to examine the merger of the two companies.

Since these negotiations are at their starting point, there is no agreement as to the organization of the merger, the value of the companies, the method of the merger and the timetable. This announcement was reported to the Israeli Stock market by Tranclal lately.
 
Transclal and Newlog are two of the biggest and leading companies, and when the companies will reach an agreement about the merger, the company will publish an announcement.
 
Tranclal trade company provides customs and forwarding services, by air, sea and land, including financing. About 72% of the company’s stocks are owned by Moti Fridman, the company’s directorate.
 
Tranclal company presents for a long period of time an extensive growth in its income. During 9 months in 2005 the net profit of the company grew to 21.8% and reached about 14.489 Million Shekels. Tranclal was graded lately on the 55th place in the "Globes 100" list of the "Globes" Magazine, which is the rating of the top 100 Israeli companies which provided the best value over a long period beginning in 1999 until August 2005, this is in accordane to return, negotiability and dividend and according to the business test: financial results.
 
Newlog company belongs to the Zim group which handles logistic service relating to marine and land transportation. Not long ago a new CEO was appointed to head the company, Mr. Yochanan Wallach, which was the Israel area manager at ZIM.
 
Newlog completed during 2002 a successful merger of 3 logistical companies (IFCO, Yamit Albani, and Dafna Weisman and Lavie), all from the ZIM Integrated Shipping group.
